1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Thamera Ltd, trading as Thamera ("Thamera," "we," "us," or "our"), a company incorporated in the United Kingdom with registered office at Unit 4 Mackintosh Lane, London E9 6AB.
By accessing or using the Thamera platform (the "Service"), registering for our waitlist, submitting an onboarding form, participating in an onboarding call, or subscribing to our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
YOU MUST BE AT LEAST 18 YEARS OLD TO USE THIS SERVICE. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.
2. Description of Service
Thamera provides AI-powered, customized learning pathways for professionals seeking career transitions and skills development. Our Service includes:
- Personalized Career Pathway Creation: Custom learning pathways developed through a combination of user-submitted information, one-on-one consultations, AI-powered industry analysis, and skills mapping interviews.
- Learning Platform Access: An online platform delivering your personalized learning content, resources, and AI-powered tutoring features.
- Professional Profile Creation: A professional profile showcasing your learning pathway, progress, and career interests, which may be shared with potential employers and made available for company viewing.
- Industry Intelligence: Periodic updates on industry news, trends, and information relevant to your target career path (supplementary feature).
- Employer Outreach: Reasonable efforts to connect your profile with companies in your target industry, though we make no guarantees regarding company interest or employment outcomes.
2.1 Service Delivery Process
Upon subscription, you will:
- Complete an initial onboarding form providing contextual career information.
- Participate in a scheduled onboarding call where we review your preliminary profile.
- Undergo a detailed industry skills mapping interview.
- Receive access to your customized learning pathway within 30 days of subscription.
The first month of your subscription is dedicated to research, profile creation, and pathway development, which requires manual work and AI-assisted analysis. Delays may occasionally occur due to third-party dependencies, public holidays, or technical factors, but your pathway will be made available within the 30-day timeframe.
2.2 Service Limitations and Disclaimers
WE MAKE NO GUARANTEES REGARDING:
- Employment outcomes or job placement.
- Company interest in your profile.
- Interview opportunities or hiring decisions.
- Specific salary increases or career advancement.
- Timeline for achieving career transition goals.
We provide learning content and career development tools to the best of our knowledge and ability, but career success depends on numerous factors beyond our control, including your effort, market conditions, employer preferences, and economic factors.
3. Eligibility and Account Registration
3.1 Age Requirement
You must be at least 18 years of age to use the Service. By registering, you warrant that you meet this age requirement.
3.2 Accurate Information
You agree to provide accurate, current, and complete information during registration, onboarding, and throughout your use of the Service. You are responsible for maintaining the accuracy of your account information. Learning pathways are built based on the information you provide; inaccurate or incomplete information will result in pathways that may not serve your needs effectively.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3.4 Right to Refuse Service
We reserve the right, at our sole discretion, to refuse service, terminate accounts, remove or edit content, or cancel subscriptions at any time, for any reason or no reason, including but not limited to:
- Violation of these Terms.
- Provision of false or misleading information.
- Behavior that brings Thamera into disrepute.
- Abusive or inappropriate conduct toward our staff.
- Misuse of the platform or attempted circumvention of our systems.
- Resource constraints or operational considerations.
4. Waitlist and Onboarding
4.1 Waitlist Registration
Due to high demand and the personalized nature of our Service, we maintain a waitlist for prospective users. By joining the waitlist:
- You enter into an agreement with Thamera and consent to us contacting you.
- You acknowledge that waitlist placement does not guarantee service acceptance.
- You may wait up to 10 days before being contacted for onboarding.
- You may request removal from the waitlist at any time by contacting us.
4.2 Onboarding Process
When you reach the front of the waitlist, we will contact you to schedule an onboarding call. During this call:
- We will review your preliminary profile and discuss your career goals.
- We will explain the Service, timeline, and subscription terms.
- You will be offered (not pressured) to subscribe to the Service.
- If you choose to subscribe, payment will be processed immediately.
Participation in the onboarding call does not obligate you to subscribe.
5. Subscription and Payment Terms
5.1 Subscription Fee
The Service is provided on a monthly subscription basis at GBP 40 per month (or equivalent in your local currency). Payment is processed immediately upon subscription and automatically renews on a monthly basis until cancelled.
5.2 Payment Processing
Payments are currently processed through Stripe, though we reserve the right to use alternative payment processors. By subscribing, you authorize us to charge your provided payment method on a recurring monthly basis.
5.3 Currency and Pricing Changes
Pricing may be displayed in various currencies for international users. We reserve the right to change our subscription fees with 30 days' advance notice to existing subscribers. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5.4 Failed Payments
If a payment fails, we will attempt to contact you and re-process the payment. Continued failure to pay may result in suspension or termination of your account and access to the Service.
5.5 Taxes
You are responsible for any applicable taxes, duties, or government charges associated with your subscription, except for taxes based on our net income.
6. Cancellation and Refunds
6.1 Cancellation Policy
You may cancel your subscription at any time by contacting us at help@thamera.com. Upon cancellation:
- Access terminates immediately upon processing your cancellation request.
- No refund will be provided for the current billing period.
- No pro-rated refunds will be issued for unused time.
- Your professional profile will be removed from company visibility.
- Your learning pathway and progress data will be retained by Thamera for system improvement purposes but will not be publicly accessible.
6.2 Refund Policy
Generally, we do not provide refunds due to the manual work and resources invested in creating your personalized learning pathway from the moment you subscribe. However, refunds remain at our sole discretion and may be issued in the following circumstances:
- Significant service failure preventing access to your learning pathway beyond the 30-day creation period.
- Technical issues on our end that prevent you from accessing the platform for an extended period.
- Determination by Thamera that the relationship is not suitable or may bring the company into disrepute.
- Other exceptional circumstances as determined by Thamera management.
To request a discretionary refund, contact us at subscriptions@thamera.com with your account details and reason for the request.
6.3 No Cooling-Off Period
Given the immediate work that begins upon your subscription (research, profile creation, AI analysis), no statutory cooling-off period applies to the extent permitted by law. You acknowledge that performance of the Service begins immediately upon subscription with your express consent.
7. Learning Pathways and Content
7.1 Pathway Allocation
As a subscriber, you will initially receive access to two (2) personalized learning pathways. We limit pathway quantity because:
- Each pathway contains substantial depth and detail.
- Effective learning requires focused commitment (typically 2.5+ months per pathway).
- Our capacity to maintain quality requires reasonable limitations.
Additional pathways may be made available to long-term subscribers at our discretion, but this is not guaranteed.
7.2 Content Accuracy and Sources
Learning pathways are created using:
- Information from major Large Language Models (LLMs).
- Publicly available Google search results.
- Academic research papers.
- Industry reports and publications.
- AI-powered analysis and synthesis.
Content is accurate to the best of our knowledge at the time of creation based on information available from these sources. We make diligent efforts to ensure accuracy and relevance, but:
- We cannot guarantee 100% accuracy of all information.
- Information may become outdated after pathway creation.
- AI systems may occasionally produce errors or "hallucinations."
- Industry knowledge evolves continuously.
7.3 Pathway Updates
Learning pathways are created according to the latest available information at the time of creation. We do not actively update existing pathways after creation except in cases of identified critical errors or significant industry shifts that we choose to address. When pathways are created, they reflect current information which cannot be compiled and analyzed at this level of customization through manual means alone - AI assistance is essential to the Service.
7.4 User Reporting
If you identify inaccurate, outdated, or problematic content in your learning pathway, you may report it using the platform's reporting feature. We will review reported issues and make corrections at our discretion, though we cannot guarantee immediate resolution.
7.5 AI Tutor and Video Content
The Service includes an AI-powered tutoring feature that may search and reference publicly available video content, primarily from YouTube. This feature is provided to enhance your learning experience. We do not host, create, or own this third-party video content and are not responsible for its accuracy, availability, or content.
8. Intellectual Property Rights
8.1 Thamera's Ownership
All learning pathways, platform content, features, functionality, AI models, algorithms, software, designs, graphics, and materials provided through the Service are and remain the exclusive property of Thamera and our licensors. These materials are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use these materials solely for your personal, non-commercial learning purposes during your active subscription.
8.2 Restrictions on Use
You may NOT:
- Download, copy, reproduce, or distribute learning pathway content (except as necessary for personal viewing within the platform).
- Share, sell, license, or transfer your learning pathway to others.
- Reverse engineer, decompile, or disassemble any aspect of the platform.
- Use automated systems (bots, scrapers, crawlers) to access or extract data from the Service.
- Create derivative works based on our content or platform.
- Remove, alter, or obscure any proprietary notices on the Service.
- Use the Service or content for any commercial purpose without our express written permission.
8.3 Personal Use Only
Your learning pathway is customized for your individual needs and is intended for your personal use only. It would not be useful or appropriate for others, as it is built specifically around your skills, experience, and career goals.
8.4 User Content
Any information, data, feedback, or materials you provide to Thamera (through forms, calls, interviews, or platform use) may be used by us to improve the Service, train our AI systems, and enhance our offerings. You grant us a perpetual, worldwide, royalty-free license to use such information for these purposes.
9. Professional Profile and Company Access
9.1 Profile Creation and Visibility
As part of the Service, we create a professional profile for you that includes:
- A professional summary or "blurb" about your background and interests.
- Your target industry and career focus.
- Your customized learning pathway details.
- Your progress and completion status as evidence of expertise development.
9.2 Company Sharing
Your profile will be:
- Shared with companies we reach out to on your behalf in your target industry.
- Made available for viewing by companies we provide access to on our platform.
- Potentially made publicly accessible in the future to increase your exposure to employment opportunities (similar to LinkedIn profile visibility).
You cannot opt out of profile visibility, as this is an integral part of the Service designed to connect you with potential employers.
9.3 Shareable Link
You will receive a unique, shareable link to your profile that you may distribute at your discretion to potential employers, colleagues, or others who may assist in your career transition.
9.4 Company Vetting
We make reasonable efforts to connect your profile with legitimate companies by:
- Identifying companies that are active in your target industry.
- Prioritizing companies that have raised funding or are established in the niche.
- Conducting basic online searches and reviewing industry news.
However, we do not conduct extensive due diligence or background checks on every company. We cannot guarantee:
- The financial stability of companies viewing your profile.
- The legitimacy or ethics of companies that may contact you.
- The quality or appropriateness of opportunities presented.
- That companies will not have problems we could not foresee.
You are responsible for conducting your own research and due diligence regarding any companies or opportunities that arise through the Service.
9.5 Profile Notifications
We are implementing a feature to notify you when companies view your profile, but this feature is not yet available. We make no guarantees about when this feature will be launched or its ongoing availability.
9.6 No Guarantee of Company Interest
We make no guarantees that companies will view your profile or express interest in you. We will make reasonable efforts to promote your profile within your target niche, but must balance our attention across all users of the Service.
10. Data Collection, Use, and Privacy
10.1 Data Collection
We collect the following information from you:
- During Registration and Onboarding: Full name, email address, billing address (for payment processing), self-reported current salary, industry interests and career goals, professional experience and background, skills, strengths, and competencies.
- During Phone Calls and Interviews: Career objectives and aspirations, detailed skills assessment, learning preferences, industry knowledge and experience, any additional information you choose to share.
- During Platform Usage: Learning progress and completion data, platform interaction and engagement metrics, technical usage data (IP address, browser type, device information), support inquiries and communications.
10.2 Call Recording
Currently, we do not record onboarding calls or skills mapping interviews. However, we may implement call recording in the future for quality assurance, training, and service improvement purposes. If we implement recording, you will be notified at the beginning of recorded calls and will have the opportunity to decline participation (which may affect our ability to provide the Service).
10.3 Data Storage
Your data is stored on secure servers located in the United Kingdom and United States, utilizing:
- Amazon Web Services (AWS) infrastructure.
- Neon database services.
- Industry-standard encryption and security measures.
10.4 Purpose of Data Use
We collect and use your data exclusively for:
- Creating your personalized learning pathways.
- Customizing the Service to your needs.
- Improving our AI systems and platform functionality.
- Matching you with relevant companies and opportunities.
- Communicating with you about the Service.
- Processing payments and managing your subscription.
- Complying with legal obligations.
We will never sell your personal data to third parties.
10.5 Third-Party Service Providers
We do not currently share your data with third-party service providers beyond our essential infrastructure partners (AWS, Neon, Stripe). However, we reserve the right to engage additional third-party services for personalization, AI processing, analytics, or other purposes that improve the quality and customization of the Service. Any third parties we engage will be bound by confidentiality obligations and will only use your data for the specific purposes we authorize.
10.6 AI Processing
Your information is processed by AI systems (including large language models) to analyze your skills, map you to industry opportunities, and create your customized learning pathways. This processing may involve sending your data to third-party AI service providers, but only for the purpose of delivering and improving the Service.
10.7 Data Retention
During Active Subscription: We retain all your data for as long as you maintain an active subscription.
After Cancellation or Termination: We will retain your data for the minimum period required by applicable law and for legitimate business purposes, including:
- Improving our AI systems and platform (anonymized where possible).
- Training our models to better serve future users.
- Complying with legal, accounting, or regulatory requirements.
- Resolving disputes or enforcing our agreements.
Your professional profile will be removed from public and company visibility upon cancellation, but underlying data will be retained as described above. You may request deletion of your data by contacting us, and we will comply to the extent permitted by law and operational necessity.
10.8 Your Rights
Depending on your location, you may have rights regarding your personal data, including:
- The right to access your data.
- The right to correct inaccurate data.
- The right to request deletion (subject to our legitimate retention needs).
- The right to object to certain processing.
- The right to data portability.

11. Platform Access and Availability
11.1 Service Availability
We strive to provide reliable access to the Service and aim to maintain 98% uptime under normal operating conditions. However, the Service may be temporarily unavailable due to:
- Scheduled maintenance and updates.
- Technical issues or server problems.
- Third-party service provider outages.
- Security incidents or necessary protective measures.
- Force majeure events (see Section 14.5).
11.2 Planned Downtime
We will make reasonable efforts to notify you in advance of planned maintenance or downtime, typically:
- One week in advance for non-urgent planned maintenance.
- 24 hours in advance for urgent updates or emergency maintenance.
Notifications will be sent via email or platform notification.
11.3 Unplanned Outages
In the event of unexpected service disruptions, we will work to restore access as quickly as possible. We are not liable for any losses, damages, or inconvenience resulting from service interruptions.
11.4 Technical Requirements
You are responsible for:
- Maintaining a compatible device and browser.
- Ensuring adequate internet connectivity.
- Keeping your account credentials secure.
- Installing any necessary updates to access the Service.
We do not guarantee compatibility with all devices, operating systems, or browsers.
12. Service Modifications
12.1 Feature Changes
We are continuously evolving and improving the Service. We reserve the right to:
- Add new features and functionality to the platform.
- Modify existing features based on user feedback and effectiveness.
- Remove features that are not benefiting users or can be replaced with better alternatives.
- Change the user interface, design, or structure of the platform.
The core learning pathway functionality will always remain central to the Service, though the specific format and delivery methods may evolve.
12.2 Notice of Material Changes
For material changes that significantly impact core Service functionality, we will provide notice via:
- Email to your registered address.
- Platform notification when you log in.
- Updates to these Terms (see Section 17.1).
12.3 Alternative Features
If we remove a feature you use, we will make reasonable efforts to provide an alternative feature or functionality that serves a similar purpose, though we cannot guarantee equivalent replacement for all features.
12.4 Supplementary Features
Features like industry news updates, profile view notifications, and similar enhancements are supplementary to the core Service and may be modified, removed, or replaced without notice.
13. Prohibited Conduct
You agree not to:
13.1 Platform Misuse
- Access or use the Service for any illegal or unauthorized purpose.
- Violate any applicable laws or regulations in your use of the Service.
- Interfere with or disrupt the Service or servers/networks connected to the Service.
- Attempt to gain unauthorized access to any part of the Service, other user accounts, or connected systems.
13.2 Data Scraping and Extraction
- Use any robot, spider, scraper, or other automated means to access the Service.
- Extract, harvest, or collect data from the Service for any purpose.
- Use data mining or similar data gathering techniques on the Service.
13.3 Reverse Engineering
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service.
- Create derivative works based on the Service or its content.
- Remove, modify, or obscure any proprietary rights notices.
13.4 Sharing and Resale
- Share your account credentials with others.
- Resell, sublicense, or commercialize access to the Service.
- Share your learning pathway content with others (except in the normal course of discussing your learning).
13.5 Inappropriate Behavior
- Harass, abuse, threaten, or intimidate Thamera staff or other users.
- Impersonate any person or entity or falsely state or misrepresent your affiliation.
- Upload or transmit viruses, malware, or other malicious code.
- Engage in any conduct that could bring Thamera into disrepute.
13.6 Industry Standards
You agree to comply with all generally accepted standards of online conduct and industry-specific regulations applicable to your use of the Service. Violation of these prohibitions may result in immediate termination of your account and access to the Service, with no refund.
14. Disclaimers and Limitation of Liability
14.1 "AS IS" Service
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
14.2 No Employment Guarantees
THAMERA MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING:
- Employment outcomes, job placements, or hiring decisions.
- Company interest in your profile or interview opportunities.
- Salary increases, career advancement, or professional success.
- The accuracy, completeness, or reliability of learning content.
- The availability or performance of third-party services (including LLMs, YouTube, or other external resources).
- Uninterrupted or error-free operation of the Service.
14.3 Content Accuracy
While we make diligent efforts to ensure the accuracy and quality of learning content, we cannot guarantee that all information is accurate, complete, current, or suitable for your specific needs. AI-generated content may contain errors or "hallucinations," and information may become outdated. You are responsible for verifying information and using your own judgment when applying learning content to your career decisions.
14.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: THAMERA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY: INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES; LOSS OF EMPLOYMENT OPPORTUNITIES OR CAREER ADVANCEMENT; DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE; DAMAGES ARISING FROM ERRORS, OMISSIONS, OR INACCURACIES IN CONTENT; DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA; DAMAGES ARISING FROM THIRD-PARTY CONDUCT OR CONTENT. IN NO EVENT SHALL THAMERA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO THAMERA IN THE SIX (6) MONTHS PRECEDING THE CLAIM (typically GBP 240 or equivalent). This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
14.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, or extreme weather.
- War, terrorism, riots, or civil unrest.
- Government actions, regulations, or restrictions.
- Pandemics or public health emergencies.
- Internet or telecommunications failures.
- Third-party service provider failures or cyber attacks.
- Labor disputes or strikes.
14.6 Jurisdictional Variations
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
14.7 International Users
If you access the Service from outside the United Kingdom, you do so at your own risk and are responsible for compliance with local laws. We make no representation that the Service is appropriate or available for use in all locations. FOR USERS IN THE UNITED STATES: You acknowledge that consumer protection laws may differ from UK laws, and you agree that UK law governs this agreement to the extent permitted by your local jurisdiction. We make no specific representations regarding compliance with US state or federal consumer protection regulations.
15. Indemnification
You agree to indemnify, defend, and hold harmless Thamera, its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service.
- Your violation of these Terms.
- Your violation of any rights of another party.
- Your violation of any applicable laws or regulations.
- False or inaccurate information you provide.
- Your professional activities or employment decisions made based on the Service.
- Any content you submit or share through the Service.
This indemnification obligation survives termination of your account and these Terms.
16. Term and Termination
16.1 Term
These Terms commence when you first access the Service, join the waitlist, or submit information to Thamera, and continue until terminated in accordance with this section.
16.2 Termination by You
You may terminate these Terms at any time by:
- Canceling your subscription through your account settings or by contacting us.
- Ceasing all use of the Service.
- Requesting account deletion.
Upon your termination:
- Your access to the Service ends immediately.
- No refund will be provided (except at our discretion per Section 6.2).
- Your profile will be removed from company visibility.
- Your data will be retained as described in Section 10.7.
16.3 Termination by Thamera
We reserve the right to suspend or terminate your account and access to the Service, with or without notice, for any reason or no reason, including but not limited to:
- Violation of these Terms.
- Non-payment of subscription fees.
- Providing false or misleading information.
- Abusive, threatening, or inappropriate conduct.
- Behavior that may bring Thamera into disrepute.
- Misuse of the platform or prohibited conduct.
- Our determination that continuing the relationship is not suitable.
- Business, operational, or capacity reasons.
We may issue a discretionary refund in cases of termination by Thamera, but this is not guaranteed.
16.4 Effect of Termination
Upon termination by either party: Your right to access and use the Service immediately ceases. All licenses granted to you under these Terms immediately terminate. Sections of these Terms that by their nature should survive (including ownership provisions, warranty disclaimers, indemnification, and limitation of liability) shall survive termination.
16.5 Service Discontinuation
We reserve the right to discontinue the Service entirely, in whole or in part, at any time. In the event of permanent Service discontinuation: We will provide 24 hours' notice in emergency situations. We will provide one week's notice when circumstances permit. We may issue pro-rated refunds at our discretion for paid subscriptions.
17. Changes to Terms
17.1 Modification Rights
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Post the updated Terms on our website with a new "Last Updated" date.
- Notify you via email at your registered address.
- Provide a reasonable notice period (typically 30 days) before changes take effect.
17.2 Acceptance of Changes
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must cancel your subscription and cease using the Service.
17.3 Entity Changes
In the event Thamera transitions from Thamera Ltd to a new legal entity (whether UK or US-based):
- These Terms and all rights and obligations will automatically transfer to the new entity.
- You will not be required to accept new terms solely due to the entity change.
- The Service will continue without interruption.
- You will be notified of the entity change via email.
The new entity will assume all rights and obligations of Thamera under these Terms and will be bound by the same commitments and limitations set forth herein.
18. Dispute Resolution
18.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us at help@thamera.com to attempt to resolve the dispute informally. We are committed to working with you in good faith to address any concerns. Please provide a detailed description of your concern, your account information, and your desired resolution. We will respond within 14 business days and work with you to find a mutually acceptable solution.
18.2 Governing Law
